These Terms of Use set out the basis on which IMG Limited provides Marketplace Introductions and governs your use of the Website. They are to be read alongside any other terms and conditions that may apply from time to time in relation to your use of the Website (as defined below). Together, they form a legally binding agreement (“Agreement”) between you, the Customer (“you”, “Customer”), and IMG Limited (“we”, “us”, “IMG”).
By accessing the Website, the Marketplace or using our mobile application (together referred to as the “Services”), you agree to be bound by our Terms of Service, which include these Terms of Use, our Privacy Policy and our Cookie Policy. You also acknowledge that your personal data may be collected, processed, and disclosed in line with our Privacy Policy. Unless otherwise defined within this Agreement , any capitalized terms shall have the same meaning as provided in the Terms of Service. Please note that, in accordance with IMG’s Terms and Conditions, the Services must not be used by individuals under the age of 18.
If you do not agree with these Terms of Use, or if you are unsure about their meaning, you should not use our Website or Marketplace Introductions, and you must not click “accept” or “sign up” when creating an Account. If you are acting on behalf of a business or other organisation, you confirm that you have the authority to commit that entity to these Terms of Service.
The Website and Marketplace Introductions are provided to you by IMG Limited, a company incorporated in England and Wales with company number 16178148. Our registered office is at [INSERT HERE] and our VAT number is [GB ________].

1.1. For the purposes of these Terms and Conditions:
“Account” an account created via the Website and subject to these Terms of Use and the Terms of Service that allows Customers and Service Professionals to access and use the Website and Marketplace.
“Marketplace” the platform provided via the Website which facilitates Customers submitting Quote Requests and the provision of Marketplace Introductions to Service Professionals to which they can reply
“Quote Request” – a request submitted by a Customer, as described in clause 3.2;
- “Intellectual Property Right and/or IPR” - means any and all intellectual property rights of any nature, whether registered, registerable or otherwise, including patents, utility models, trade marks, registered designs and domain names, applications for any of the foregoing, trade or business names, goodwill, copyright and rights in the nature of copyright, design rights, rights in databases, moral rights, know-how and any other intellectual property rights that subsist in computer software, computer programs, websites, documents, information, techniques, business methods, drawings, logos, instruction manuals, lists and procedures and particulars of customers, marketing methods and procedures and advertising literature, including the "look and feel" of any websites, and in each case all rights and forms of protection of a similar nature or having equivalent or similar effect to any of these that may subsist anywhere in the world, in each case for their full term, together with any future rights and renewals or extensions.
- “the Customer” / “you” – individuals or businesses who use the Website to locate a Service Professional to deliver the Services;
- “3rd Party Contract” – the legal agreement entered into directly between a Service Professional and a Customer for the delivery of Services;
- “the Marketplace Introduction” – the process by which IMG identifies Service Professionals and provides their contact information to Customers and/or provide the Customer’s contact details to Service Professionals, as more particularly described in clause 3.5;
- “the Service Professional” – the person or entity offering professional services to Customers;
- “the Services” – the professional services supplied by a Service Professional to a Customer;
-- “the Website” – www.localists.com or any successor platform operated by IMG.
1.2 Clause, schedule and paragraph headings shall not affect the interpretation of this agreement.
1.3 A reference to a company shall include any company, corporation or other body corporate, wherever and however incorporated or established.
1.4 Unless the context otherwise requires, words in the singular shall include the plural and in the plural shall include the singular.
1.5 Unless the context otherwise requires, a reference to one gender shall include a reference to the other genders.
1.6 A reference to a statute or statutory provision is a reference to it as amended, extended or re-enacted from time to time.
1.7 A reference to a statute or statutory provision shall include all subordinate legislation made from time to time under that statute or statutory provision.
1.8 A reference to writing or written includes faxes but not e-mail.
1.9 Any phrase introduced by the words including, includes, in particular or for example, or any similar phrase, shall be construed as illustrative and shall not limit the generality of the related general words.
1.10 References to clauses and schedules are to the clauses and schedules of this agreement. References to paragraphs are to paragraphs of the relevant schedule.
1.11 A person includes a natural person, corporate or unincorporated body (whether or not having separate legal personality) [and that person's personal representatives, successors or permitted assigns].
1.12 If there is an inconsistency between any of the provisions in the main body of this agreement and the Schedules, the provisions in the main body of this agreement shall prevail.
2.1. You may bring this Agreement to an end at any time by simply discontinuing use of the Website, Marketplace and Marketplace Introductions. If you have an active Customer Account on the Website, you must contact us by email, telephone or post to arrange closure.
2.2. IMG Limited is not a party to any 3rd Party Contract. Ending or attempting to end this Agreement will not affect any 3rd Party Contract you have entered into with a Service Professional.
2.3. We may restrict, suspend or cancel your access to the Marketplace Introductions or Website at our discretion if:
2.3.1. you fail to comply with these Terms of Use or any of our Terms of Service;
2.3.2. we believe you have provided false or misleading information;
2.3.3. your conduct exposes us, the Website or Marketplace, or other users to risk of legal claims, reputational harm, or involves unlawful activity; or
2.3.4. we are legally required to do so.
3.1. IMG Limited runs the Website as a platform that enables Customers to connect with Service Professionals across a wide range of Services.
3.2. Customers may search the Website for Service Professionals. The Website uses an algorithm to identify potential matches. Each Customer request (a “Quote Request”) results in an introduction to Service Professionals who may be able to meet the specified requirements.
3.3. By submitting a Quote Request, you agree to these Terms of Use and the Terms of Service. At that point, a contract is formed between you and us for the provision of the Marketplace Introductions. If you choose to hire a Service Professional, you must enter into a separate 3rd Party Contract directly with them.
3.4. When submitting a Quote Request, you consent to us checking your contact details and location. If your details are invalid, inactive or inconsistent with the service location, or fall outside our operational area, the Quote Request may be declined.
3.5. Once your Quote Request is verified, we will share with you the details of Service Professionals who may be suitable. A maximum of five Service Professionals may contact you, and you are free to reach out to them directly. If no matches are found, we will notify you and invite you to adjust your requirements.
3.6. You are free to assess the information provided by Service Professionals and to decide whether or not to engage them. IMG Limited does not endorse, guarantee or warrant the suitability of any Service Professional, and it is your responsibility to confirm their ability to deliver the Services before entering into a 3rd Party Contract.
3.7. If you proceed, you will contract directly with the Service Professional. IMG Limited is not a party to the 3rd Party Contract, and no relationship of employment or service exists between IMG Limited and either you or the Service Professional. Marketplace Introductions are provided free of charge to Customers. Service Professionals pay a fee to be able to respond to a Quote Request
3.8. Where available, we may provide links to Service Professionals’ websites and offer functionality for Customers to post reviews of Service Professionals on the Website. Reviews on the Website must be fair, based on your actual experience, and must not contain discriminatory, defamatory, unlawful, or otherwise inappropriate material. We reserve the right to remove non-compliant reviews and, if necessary, restrict your ability to post reviews in future.
3.9. IMG Limited does not monitor or control the content of Service Professionals’ websites and accepts no responsibility for their accuracy or legality. Any Services you purchase must be contracted directly with the Service Professional.
Important Legal Notice: IMG Limited provide an online marketplace for local consumers to connect with local Service Professionals. We do not provide any warranty or assurance in relation to any Services provided by a Service Professional. IMG Limited only facilitates Marketplace Introductions. Any Services are delivered under a separate 3rd Party Contract directly with the Service Professional. Any issues concerning the Services must be taken up with the Service Professional, not IMG Limited. IMG Limited accept no responsibility or liability in relation to any 3rd Party Contracts or Services provided. IMG does not perform the Services and has no employment relationship with Service Professionals.
4.1 The Customer shall provide IMG with:
(a)all necessary co-operation in relation to these Terms of Use; and
(b)all necessary access to such information as may be required by IMG, in order to maintain the Website and the Marketplace;
(c)comply with all applicable laws and regulations with respect to its activities under these Terms of Use and the Terms of Service, and
(d)carry out all other Customer responsibilities set out in these Terms of Use or in any of the schedules in a timely and efficient manner. In the event of any delays in the Customer's provision of such assistance as agreed by the parties, IMG may suspend your use of the Website and Marketplace as reasonably necessary.
4.2 The Customer warrants that they:
(a)have full capacity and authority to enter into and perform their obligations under these Terms of Use and that your agreement to these Terms of Use is executed by a duly authorised representative of the Customer;
(b)all representations made by the Customer on the Website, including but not limited to information submitted via a Quote Request are true, complete, accurate and not misleading;
(c)shall not make any statement, orally or in writing, publicly or privately, or do any act or otherwise conduct itself in such a manner as will or may in the reasonable opinion of IMG disparage IMG, the Website, its clients or customers, its or their business, products or services.

6.1The Customer acknowledges and agrees that, as between the parties, IMG and/or its licensors own all Intellectual Property Rights in all materials connected with the Website, the Marketplace, Marketplace Introductions and in any material developed or produced in connection with your use of the Website by IMG, its officers, employees, subcontractors or agents. Except as expressly stated herein, this agreement does not grant the Customer any rights to such Intellectual Property Rights.
6.2IMG shall own and retain all rights, title and interest in the IPR. The Customer shall have no rights to access, use or modify any IPR unless it has the prior written consent of the IMG. No licence or permission is granted to any Customer to use any of IMGs IPR at any time including but not limited to copying, reverse engineering, or otherwise any other use of the IPR and such usage is strictly prohibited. Any use of IPR not in accordance with these Terms and Conditions may result in suspension and termination of your use of the Website and/or Marketplace and legal enforcement action being taken.
7.1. When you place a Quote Request, IMG Limited compiles a list of Service Professionals who appear to meet your requirements. The order in which they are presented is determined by our algorithm.
7.2. The algorithm ranks Service Professionals higher where they:
7.2.1. maintain a complete and current profile demonstrating prior experience;
7.2.2. have a positive record of performance on the Website and strong reviews;
7.2.3. reply quickly to Customer enquiries;
7.2.4. remain consistently active on the Website; and
7.2.5. have Credits available.
8.1. As noted in Clause 3, the Services are provided solely by the Service Professional under a 3rd Party Contract. IMG Limited does not supervise or oversee how Services are delivered.
8.2. IMG Limited accepts no liability in respect of the Services or your dealings with any Service Professional. Any delays, breaches, misrepresentations or failures are the responsibility of the Service Professional alone.
8.3. You remain responsible for carrying out your own due diligence on any Service Professional before entering into a 3rd Party Contract.
8.4. We do not exclude or limit liability for:
8.4.1. death or personal injury caused by our negligence;
8.4.2. fraud or fraudulent misrepresentation by us; or
8.4.3. anything else that cannot legally be excluded.
8.5. We are not responsible for the content of any third-party website linked to from our Website, and we accept no liability for any loss or damage arising from their use.
If you are a consumer
8.6. Marketplace Introductions are provided for personal and domestic purposes only. You agree not to use them for commercial purposes. We are not liable for business losses such as lost profits, opportunities, or revenue.
If you are a business user
8.7. To the fullest extent permitted by law, all implied conditions, warranties and representations are excluded.
8.8. We are not liable for any losses arising in connection with the Marketplace Introductions, whether foreseeable or not, including but not limited to:
8.8.1. lost profits, sales or revenue;
8.8.2. business interruption;
8.8.3. loss of anticipated savings;
8.8.4. loss of goodwill, reputation or business opportunities;
8.8.5. indirect or consequential damages.
8.9. As we are not a party to any 3rd Party Contract, you release us from all claims or disputes connected to the Services, including performance, quality, or refunds. This does not affect claims that IMG Limited has failed to comply with its own Terms of Use.
8.10. You agree to indemnify and hold harmless IMG Limited, its officers, employees and representatives against any claims, proceedings, damages, expenses or legal costs arising from your use of the Marketplace Introductions.
9.1. We may revise these Terms of Use from time to time. Please check back regularly, as your continued use of the Website will be taken as acceptance of any updated terms.
9.2. We may assign or transfer our rights and obligations under this Agreement to another organisation.
9.3. You may not transfer your rights or obligations under this Agreement without our prior written approval. Any attempted transfer without consent is void.
9.4. No third party has any rights under this Agreement.
9.5. If any part of this Agreement is found invalid or unenforceable, the rest will remain in force.
9.6. A delay in enforcing rights under this Agreement does not prevent enforcement at a later stage.
If you are a consumer
9.7. These Terms are governed by English law. Legal proceedings may be brought in the courts of England and Wales, or in Scotland or Northern Ireland if that is where you live.
If you are a business user
9.8. These Terms (and any related non-contractual obligations) are governed by the laws of England and Wales, with exclusive jurisdiction in the courts of England and Wales.
9.9. For quality and training purposes, IMG Limited may record phone or video calls. By agreeing to these Terms, you consent to such recordings, though you may opt out of a specific call by notifying us in advance.
9.10. By using the Website, you agree that communication with us will primarily take place electronically (via email or Website notices). You acknowledge that such communications satisfy any requirement for written communication. This does not affect your statutory rights.
IMG shall have no liability to the Customer under this agreement if it is prevented from, or delayed in, performing its obligations under this agreement, or from carrying on its business, by acts, events, omissions or accidents beyond its reasonable control, including strikes, lock-outs or other industrial disputes (excluding any industrial disputes involving the workforce of the Supplier), act of God, war, riot, civil commotion, compliance with any law or regulation, fire, flood or storm (each a Force Majeure Event), under any circumstances.
